1. Acceptance of Terms
By creating an account, publishing content, supporting a creator, accessing, or using Fosteo ("Platform", "we", "us", or "our"), you enter into a legally binding agreement with Fosteo and agree to these Terms of Service. If you do not agree to all of these terms, do not use or access the Platform.
2. The Service & Merchant of Record (MoR)
Fosteo is an independent digital software distributor and Merchant of Record (MoR). Fosteo sells digital creator perks, thank-you deliverables, community access passes, and membership privileges to supporters on behalf of its partner creators.
All financial transactions on Fosteo are conducted directly between the supporter and Fosteo as the legal seller of record. Fosteo collects customer payments, manages billing, administers cardholder dispute resolutions, handles sales tax compliance where applicable, and distributes contractual revenue-share commissions to verified creators.
3. Creator Commercial Distribution Framework
By creating a creator account on Fosteo, you enter into a bilateral commercial distribution and revenue-share partnership with Fosteo. You grant Fosteo a worldwide, non-exclusive license to market, sell, deliver, and distribute your digital perks, community access, and thank-you content through the Platform.
Fosteo is not a bank, money transmitter, depository institution, or money services business (MSB). Disbursements from Fosteo to creators constitute commercial supplier revenue-share payments for digital goods and privileges sold through the Platform.
4. Revenue Sharing & Platform Fees
Fosteo operates on a transparent revenue-share model. For each transaction processed through a creator's page, Fosteo retains a standard platform operating fee as published on our pricing page.
The remaining net balance is credited to the creator's ledger balance as commercial revenue-share earnings. We reserve the right to modify fee schedules upon reasonable advance notice.
5. Settlement Setup, Mature Holding & Security Reviews
Creators must provide a valid digital settlement destination (such as a supported USDC wallet address on Base or Solana) to receive disbursements. Creators are solely responsible for the accuracy of their settlement information. Disbursements sent to an incorrect destination provided by the creator are irreversible.
Mature Holding Period: To mitigate fraud, chargebacks, and unauthorized transactions, all creator earnings are subject to a standard 7-day holding period from the transaction date before becoming eligible for withdrawal.
Risk & Security Reviews: In exceptional cases involving abnormal transaction volume, elevated dispute velocity, potential fraud, or compliance verification, Fosteo reserves the right to temporarily place disbursements on security hold and conduct a manual compliance review before releasing funds.
6. Refunds, Chargebacks & Dispute Liability
Immediate Digital Fulfillment: Supporter contributions and perk purchases grant immediate digital access, automated receipt delivery, and platform privileges upon completion. All purchases are generally non-refundable once delivered.
Chargeback Deductions: If a supporter initiates a payment dispute, fraud claim, or cardholder chargeback with their issuing bank, Fosteo will immediately place the disputed transaction amount plus standard processor dispute fees (typically $15 per dispute) on hold and deduct it from the creator's ledger balance.
If the dispute is subsequently resolved in Fosteo's favor by the card network, the deducted amount will be restored to the creator's available balance. Creators are responsible for any negative balance resulting from excessive chargebacks.
7. Creator Delivery Obligations & Acceptable Use
Creators who offer custom digital deliverables, private community links, digital downloads, or personal perks are legally obligated to fulfill all promised deliverables in good faith. Failure to deliver promised rewards that leads to supporter chargebacks will result in dispute deductions and potential account suspension.
Creators must strictly comply with our Acceptable Use Policy. Fosteo strictly prohibits fraudulent schemes, money laundering, hate speech, harassment, intellectual property infringement, and sexually explicit or adult content of any kind.
8. Monthly Recurring Subscriptions
Supporters who join a creator's monthly tier are billed on a recurring monthly cycle. Supporters can cancel their subscription at any time using the self-service management link provided in their receipt confirmation email. Cancellations prevent future renewal charges and take effect at the end of the current paid billing period.
9. Taxes & Compliance
Creators operate as independent commercial partners and are solely responsible for determining, reporting, and paying any local, state, federal, or international income taxes applicable to their revenue-share earnings. Fosteo will provide annual tax documentation (e.g., Form 1099 or Form W-8BEN/W-9 certifications) where required by applicable law.
10. Intellectual Property Rights
Creators retain full copyright and intellectual property ownership over all content, perks, and creative works published on their pages. By uploading content, creators grant Fosteo a worldwide, non-exclusive, royalty-free license to display, host, and distribute the content solely for the purpose of operating and promoting the Platform.
11. Disclaimer of Warranties & Limitation of Liability
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the maximum extent permitted by law, Fosteo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or service interruptions.
12. Mandatory Binding Arbitration & Class Action Waiver
Mandatory Individual Arbitration: You and Fosteo agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA), rather than in court.
Class Action Waiver: YOU AND FOSTEO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
13. Governing Law & Jurisdiction
These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. For any claims not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.
